Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using BuildChart ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

BuildChart is a construction project management tool that provides Gantt chart visualization, task management, team collaboration, budget tracking, daily logging, and client portal features.

BuildChart is not a scheduling service, construction consultant, or professional advisor. Users are solely responsible for verifying the accuracy of their project schedules, task assignments, dates, and all data entered into the platform. BuildChart does not guarantee that schedules created using the Service are accurate, complete, or suitable for any particular construction project.

3. Subscription and Billing

  • Plans: BuildChart offers four subscription tiers — Lite ($19/month), Starter ($49/month), Pro ($99/month), and Business ($179/month) — billed monthly or annually.
  • Free trial: Starter, Pro, and Business plans include a 14-day free trial. No credit card is required to start a trial. If you do not subscribe before the trial ends, your account will be downgraded to the Lite plan.
  • Cancellation: You may cancel your subscription at any time. Your access to paid features continues until the end of the current billing period.
  • Refunds: No refunds are issued for partial months. For annual plans, refunds are available within the first 30 days only.
  • Price changes: We will provide at least 30 days' notice before any price changes take effect. Price changes do not apply to the current billing period.
  • Invited users: Subcontractors and customers invited to projects do not need a paid subscription. Only the project owner's plan determines the project's feature limits.

4. Data Ownership

You retain full ownership of all data you create, upload, or enter into the Service ("User Content"), including project information, task details, team member assignments, notes, file attachments, and daily logs. We do not claim ownership of your User Content.

BuildChart owns the platform, all application code, design, documentation, and all anonymized, aggregated analytics derived from platform usage.

By using the Service, you grant BuildChart:

  • A limited, non-exclusive license to host, store, process, and display your User Content solely for the purpose of providing the Service. This license terminates when you delete your data or close your account.
  • A limited, non-exclusive, royalty-free license to use anonymized, aggregated, non-identifiable data derived from your use of the platform to improve our services, develop new features, and train machine learning models that power BuildChart features. This license does not grant BuildChart the right to share your individual project data with third parties, sell your data in any form, or use personally identifiable information for training purposes. You may withdraw this license at any time by opting out in Account Settings → Data & Privacy.

5. Acceptable Use

You may not use BuildChart to:

  • Violate any applicable law or regulation
  • Impersonate any person or entity, or falsely represent your affiliation with any person or entity
  • Attempt to gain unauthorized access to the Service, other users' accounts, projects, or data
  • Use the API to scrape, mass-export, or systematically collect other users' data
  • Interfere with or disrupt the operation of the Service, including by introducing malware, viruses, or denial-of-service attacks
  • Circumvent rate limiting, security measures, or access controls
  • Resell, sublicense, or redistribute the Service without our written consent
  • Use the Service to store or transmit sensitive personal data (Social Security numbers, financial account numbers, health records) unless specifically authorized

6. Limitation of Liability

BUILDCHART'S MAXIMUM LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID BUILDCHART IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

BUILDCHART IS NOT LIABLE FOR LOST PROFITS, LOST CONTRACTS, PROJECT DELAYS, SCHEDULE ERRORS, OR ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

Users are solely responsible for verifying their own project schedules, task assignments, dates, budget figures, and all data entered into the platform.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted service, error-free operation, or fitness for any particular purpose. The Service may be temporarily unavailable due to scheduled maintenance, unscheduled maintenance, or factors outside our control. We are not liable for any loss or damage resulting from temporary unavailability of the Service.

8. API and AI Agent Integration

BuildChart provides a REST API and webhook system on the Business plan. When users connect third-party AI agents to BuildChart via our API:

  • BuildChart is not responsible for actions taken by third-party AI agents
  • BuildChart is not responsible for decisions made by AI models using BuildChart data
  • BuildChart is not responsible for communications sent by user-configured automated systems
  • Users bear sole responsibility for configuring, monitoring, and controlling any AI agents they connect to BuildChart

API usage is subject to rate limits as described in our API documentation. Abuse of the API may result in key suspension or account termination.

9. Termination

By you: You may cancel your subscription and close your account at any time. Upon cancellation, your access to paid features continues until the end of the current billing period. Upon account deletion, your User Content will be permanently deleted, including all projects, tasks, files, and associated data.

By us: We may suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a security risk to other users. We will provide notice before termination unless immediate action is required for security reasons. If we terminate your account without cause, we will provide you with a reasonable opportunity to export your data.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nebraska, United States, without regard to its conflict of law provisions.

11. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration administered in the State of Nebraska, rather than in court. Either party may bring claims in small claims court for disputes under $10,000.

You agree that any arbitration will be conducted on an individual basis and not as a class, consolidated, or representative action. The arbitrator's decision shall be final and binding.

12. Changes to These Terms

We may revise these Terms from time to time. We will provide at least 30 days' notice before material changes take effect, via email to your registered address and through an in-app notification. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

13. Indemnification

You agree to indemnify and hold harmless BuildChart and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: your use of the Service, your violation of these Terms, your violation of any third-party rights, or your User Content.
